Terms of Service

1. Acceptance of terms

By creating an account or using the Daelys service, you fully and unconditionally accept these Terms of Service. This acceptance constitutes a legally binding contract between you and Daelys.

Use of the Service implies your full agreement with these terms, as well as our Privacy Policy which forms an integral part of this contract. If you do not accept these terms in their entirety, you must immediately cease using the Service.

You declare that you are at least 18 years old or have the authorization of a legal representative to use the Service.

2. Description of the service

Daelys is an online service offering a web accessibility widget that allows website owners to improve the accessibility of their site for all their visitors.

Daelys offers the following features:

• An accessibility widget embeddable on any website (WordPress, Shopify, Wix, Webflow, HTML)
• Display adaptation features: text size, contrast, dyslexia mode, etc.
• A dashboard to configure and customize the widget
• Anonymized usage statistics (Pro plan)
• Full customization of the widget appearance (Pro plan)

We reserve the right to modify, improve, suspend, or discontinue all or part of the Service at any time, with or without notice, for technical, security, or user experience improvement reasons.

3. License of use

Subject to compliance with these Terms, Daelys grants you a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to access and use the Service in accordance with these Terms.

Each license is tied to your account and the site you have registered there. This license does not grant you any ownership rights over the Service, the widget, or any associated elements.

The following are prohibited:

• Modifying, decompiling, or reverse engineering the widget
• Copying, reproducing, distributing, or creating derivative works of the Service
• Reselling, sublicensing, or redistributing the Service without authorization
• Using the Service for illegal purposes or contrary to public order
• Attempting to circumvent security measures or access unauthorized data
• Using unapproved bots, scripts, or automated means
• Embedding the widget on sites containing illegal content

4. Account creation and management

To access the Service's features, you must create an account by providing a valid email address and a password. You guarantee the accuracy of this information and commit to keeping it up to date.

You are fully responsible for the confidentiality of your login credentials and all activities that occur under your account. In the event of unauthorized use, you commit to informing us immediately.

We reserve the right to suspend, deactivate, or delete your account at any time, in particular in the event of a violation of these Terms, misuse of the Service, or for any other reason we deem legitimate.

5. Plans, payment, and renewal

Daelys offers two plans:

• Free plan: free, with no time limit, including 4 essential features with visible Daelys branding, limited to 1 site.
• Pro plan: paid monthly or annual subscription, including all visitor adaptation features, extended accessibility profiles, automatic auditing, anonymized usage statistics, advanced customization and multi-language. The full list is available on the pricing page.

Payments are handled by Stripe. By subscribing to the Pro plan, you authorize recurring charges according to the chosen billing period.

Automatic renewal. Your Pro subscription renews automatically at the end of each period (monthly or annual). The amount is charged to the registered payment method.

Cancellation. You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current period. You retain access to the Pro plan until that date, then your account automatically switches back to the Free plan.

Refund. If you are not satisfied with the Service, you may request a refund within 14 days of the date of subscription or renewal, by contacting us via our contact page. After this period, no refund will be granted.

6. Intellectual property

The Daelys Service and all its elements (interface, design, source code, algorithms, logos, databases, widget) constitute a work protected by copyright, trademark law, and other intellectual property rights belonging exclusively to Daelys.

Any idea, suggestion, feedback, or feature request you submit to us may be freely used by Daelys without any obligation of compensation.

7. Accessibility and compliance. Important notice

Daelys helps improve the accessibility of your site by offering display adaptation tools for your visitors. However:

• Daelys does not guarantee full compliance of your site with RGAA, WCAG 2.1, or any other legal requirement for digital accessibility.
• Daelys does not provide legal advice. We recommend consulting a professional to assess your site's compliance.
• Use of Daelys does not protect you against potential third-party claims regarding the accessibility of your site.
• The legal compliance of your site is the responsibility of its owner.
• The Daelys widget does not edit your site's source code. It overlays an assistance layer enabling your visitors to adapt the display to their needs. Structural accessibility fixes (semantic HTML, ARIA tags, native keyboard navigation, alt text, etc.) remain your responsibility or that of your technical provider.

7 bis. Accessibility diagnostic tool

Daelys offers a diagnostic tool that analyzes the public pages of a website and identifies accessibility points of attention. Use of this tool is subject to the following conditions:

• You warrant that you have the necessary rights (as owner, manager, or authorized agent) to scan the URL provided. Daelys disclaims any liability for use of the tool on a site of which you are neither the owner nor the authorized agent.
• The displayed score and indicators are strictly indicative and based on limited automated criteria. They do not constitute an official audit, nor a compliance assessment under RGAA, WCAG, ADA, or any other standard. Only a manual audit by a qualified expert can establish a site's compliance.
• References such as "Daelys offers an adaptation" or equivalent mean that the widget provides a feature to assist the visitor's experience. They do not mean that your site's source code is modified, nor that the point of attention is resolved structurally.
• Daelys cannot be held liable for decisions made on the basis of these results, nor for any false positives or false negatives inherent to any automated analysis.

7 ter. Technical integration of the widget

The Daelys widget is a JavaScript script integrated into the customer's site by inserting a line of code. The customer acknowledges and accepts that:

• Any third-party script may potentially conflict with other scripts present on the site, or affect its performance (loading time, Core Web Vitals, etc.).
• The customer is solely responsible for testing the widget on their environment, across all critical pages and configurations, before any production deployment.
• Daelys regularly publishes widget updates. The customer is informed that these updates are deployed automatically and that it is their responsibility to monitor their impact on their site.
• Daelys cannot be held liable for any malfunction, loss of revenue, performance degradation, SEO impact, or any other consequence resulting directly or indirectly from the integration of the widget on the customer's site.
• In the event of a serious incident, the customer can immediately disable the widget by removing the integration line from their site, without notice or any procedure with Daelys.

7 quater. Official position of the European Commission on overlay tools

Daelys is, technically, an accessibility overlay tool. As such, it falls within the scope of tools analyzed by the European Commission and specialized accessibility bodies.

The European Commission, in its official "Web accessibility" page updated on 21 February 2025, expressly states:

"Overlay tools, or any other tool that does not ensure the website itself meets the criteria of the standard, are not an appropriate solution. It is best to fix accessibility issues at their source."

The customer acknowledges having been informed that:

• Compliance with the European harmonized standard EN 301 549 v3.2.1, the reference for the European Accessibility Act and transposed into the French RGAA, requires work at the source of the code, which the Daelys widget does not perform.
• This position is shared by the European Disability Forum (EDF), the International Association of Accessibility Professionals (IAAP), and approximately 900 accessibility experts who signed the Overlay Fact Sheet.
• The European Commission explicitly recommends involving people with disabilities in accessibility testing of any website. Daelys does not replace and cannot replace such user testing.
• The customer undertakes not to present Daelys to third parties (visitors, customers, partners, authorities, prospects) as a product guaranteeing on its own compliance with accessibility standards or eliminating legal risk related to digital accessibility.
• Any promotional or marketing statement produced by Daelys is informational only and shall not constitute a legal warranty of compliance. In case of divergence, these Terms prevail over any promotional document.

8. Limitation of liability

The Service is provided "as is" and "as available", without any express or implied warranty. To the fullest extent permitted by applicable law, we exclude our liability for any direct, indirect, incidental, or consequential damages resulting from your use of the Service.

Our total liability shall in no event exceed the amounts paid by you during the twelve (12) months preceding the event giving rise to the claim. For Free plan users, this liability is limited to one hundred euros (€100), except in cases of gross negligence or willful misconduct by Daelys.

8 bis. Force majeure

Neither party shall be held liable for any breach of its obligations resulting from a force majeure event as defined by French case law, including but not limited to: major outage or failure of a critical subcontractor (host, payment provider, CDN), large-scale cyberattack, natural disaster, armed conflict, governmental decision, regulatory restriction, or generalized telecommunications interruption.

The party affected by the force majeure event shall notify the other party as soon as possible and shall use its best efforts to limit the consequences on contract performance.

9. Indemnification

You agree to indemnify and hold Daelys harmless from any claim, complaint, or action by third parties arising from: (i) your violation of these Terms; (ii) your use of the Service; (iii) any violation of applicable laws in connection with your use of the Service.

10. Privacy and data protection

The processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Service, you consent to the collection and processing of your data in accordance with this Policy.

We are committed to protecting your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable French law.

11. Links to third-party services

The Service may contain links to third-party sites or services (Stripe, Supabase, etc.). Daelys assumes no responsibility for the content, privacy policies, or practices of these third-party services.

12. Dispute resolution

In the event of a dispute, we favor amicable resolution. You may contact us via our contact page for any complaint.

In the absence of amicable resolution within a reasonable time, any dispute falls under the exclusive jurisdiction of the courts of Paris, France. These Terms are governed by French law.

13. Modifications to the Terms

We reserve the right to modify these Terms at any time. In the event of a material change, we will notify you by email or via the dashboard. The last updated date will be refreshed at the top of this page.

By continuing to use the Service after the modifications take effect, you accept the new Terms. If you do not accept the modifications, you must cease using the Service.

13 bis. Discontinuation of the Service

In the event of permanent cessation of Daelys' activity or discontinuation of the Service, Daelys undertakes to:

• Notify active customers by email at least sixty (60) days before the effective date of cessation.
• Provide an export of account data (configurations, statistics) in a structured format (JSON) during this period.
• Where applicable, refund prorated amounts prepaid but not yet consumed on the Pro plan.

Daelys may, at any time and without specific notice, suspend or interrupt the Service for technical, security, or maintenance reasons, without incurring liability provided that such interruptions remain occasional and necessary.

13 ter. Contract language

These Terms are drafted in French. Any translation into another language is provided for informational purposes only. In the event of any divergence in interpretation, the French version shall prevail.

14. Right of reference

Unless you object in writing, you authorize Daelys to mention your name and/or your site's URL as a reference client on the Daelys website and in its communications.
